همگرایی حقوق خصوصی در پرتو سیاست جنایی فراملی: مطالعه موردی قراردادهای تجاری بین‌المللی

چکیده
پژوهش حاضر با هدف تبیین نقش سیاست جنایی فراملی در فرآیند همگرایی حقوق خصوصی، با تمرکز بر قراردادهای تجاری بین‌المللی، به این پرسش پاسخ می‌دهد که استانداردهای ناشی از سیاست جنایی فراملی چگونه موجب نزدیک‌شدن قواعد و رویه‌های حقوق خصوصی در نظام‌های حقوقی مختلف می‌شوند. روش پژوهش، توصیفی ـ تحلیلی و مبتنی بر مطالعه منابع کتابخانه‌ای، اسناد بین‌المللی و آثار علمی داخلی و خارجی است. یافته‌های پژوهش نشان می‌دهد که سیاست جنایی فراملی از طریق ایجاد الزامات مشترک در زمینه شفافیت مالی، مبارزه با فساد، شناسایی ذی‌نفع واقعی، پیشگیری از پول‌شویی و کنترل فعالیت‌های اقتصادی مرتبط با جرایم فراملی، به‌طور غیرمستقیم به روابط قراردادی خصوصی نفوذ می‌کند. این نفوذ از طریق شروط قراردادی، قواعد آمره، نظم عمومی، الزامات نظارتی و محدودیت‌های اجرای قراردادها تحقق می‌یابد و در نتیجه، الگوهای نسبتاً مشابهی در قراردادهای تجاری بین‌المللی شکل می‌گیرد. از این منظر، قراردادهای تجاری بین‌المللی نه‌تنها ابزار مبادله اقتصادی، بلکه یکی از سازوکارهای انتقال و تثبیت استانداردهای سیاست جنایی فراملی محسوب می‌شوند. بااین‌حال، فرآیند همگرایی مزبور به معنای یکسان‌سازی کامل حقوق خصوصی نیست و به دلیل تفاوت در نظام‌های حقوقی، حاکمیت دولت‌ها و برداشت‌های متفاوت از نظم عمومی، ماهیتی تدریجی، نسبی و چندلایه دارد. در حقوق ایران نیز، هرچند ظرفیت‌هایی برای پذیرش و انعکاس استانداردهای فراملی در روابط قراردادی وجود دارد، تعارض میان آزادی قراردادی، قواعد آمره داخلی و الزامات فراملی، چالش‌هایی اساسی در مسیر این همگرایی ایجاد می‌کند..

Convergence of Private Law in the Light of Transnational Criminal Policy: A Case Study of International Commercial Contracts

The present study aims to explain the role of transnational criminal policy in the process of private law convergence, focusing on international commercial contracts, and answers the question of how standards resulting from transnational criminal policy lead to the convergence of private law rules and procedures in different legal systems. The research method is descriptive-analytical and based on the study of library resources, international documents, and domestic and foreign scientific works. The research findings show that transnational criminal policy indirectly influences private contractual relations by creating common requirements in the field of financial transparency, combating corruption, identifying beneficial owners, preventing money laundering, and controlling economic activities related to transnational crimes. This influence is realized through contractual terms, mandatory rules, public order, regulatory requirements, and restrictions on the implementation of contracts, and as a result, relatively similar patterns are formed in international commercial contracts. From this perspective, international commercial contracts are not only a means of economic exchange, but also a mechanism for transferring and consolidating transnational criminal policy standards. However, the convergence process does not mean the complete unification of private law and, due to differences in legal systems, state sovereignty, and different perceptions of public order, is gradual, relative, and multi-layered. In Iranian law, although there is some capacity to accept and reflect transnational standards in contractual relations, the conflict between contractual freedom, domestic mandatory rules, and transnational obligations poses fundamental challenges to this convergence.
